13. Governing Law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, are governed by the laws of England and Wales, without regard to conflict-of-law rules. This does not deprive you of the protection of mandatory laws of the country in which you live. How and where disputes are resolved is set out in Section 14.
14. Dispute Resolution and Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT GOVERNS HOW DISPUTES BETWEEN YOU AND JULT WILL BE RESOLVED. IT REQUIRES YOU TO FIRST TRY TO SETTLE ANY DISPUTE INFORMALLY, THEN THROUGH MEDIATION, AND THEN THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT CONTAINS A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER THAT AFFECT YOUR RIGHTS. YOU MAY OPT OUT WITHIN 30 DAYS (SEE SECTION 14.11).
This Section 14 (the "Arbitration Agreement") forms part of these Terms between you and JULT AI LIMITED, a company registered in England and Wales (company number [company number]) with its registered office at [registered office address], United Kingdom ("Jult", "we", "us", "our"). Capitalised terms not defined in this Section have the meaning given elsewhere in these Terms.
14.1 Scope
Disputes covered. Subject to this Arbitration Agreement, you and we agree that any dispute, claim, or disagreement between you and us (or our affiliates, officers, directors, employees, agents, or successors) arising out of or relating to your access to or use of the Service, any content generated through the Service, any communications you receive from us, any products or credits sold through the Service, or these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (each a "Dispute"), will be resolved exclusively through the process in this Arbitration Agreement and not in court. "Dispute" includes claims based on facts that arose before this or any earlier version of these Terms, and claims that arise after these Terms end.
Exceptions. Either party may:
- bring an individual claim in a small claims court (or, in England and Wales, the small claims track of the County Court) if the claim qualifies, stays in that court, and proceeds only on an individual basis; and
- seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights (including trade marks, trade dress, domain names, trade secrets, copyright, and patents), or to prevent unauthorised use of or access to the Service.
Consumers. The Service is offered to businesses. If you nonetheless use the Service as a consumer and the law of your country of residence gives you rights that cannot be waived by contract (for example, under the UK Consumer Rights Act 2015, sections 89 to 91 of the Arbitration Act 1996, or EU Directive 93/13/EEC), then nothing in this Arbitration Agreement limits those rights, and to the extent this Arbitration Agreement cannot lawfully be applied to you, it will not be. You may also be entitled to bring a claim in the courts of your home country.
Who decides what. The arbitrator decides all Disputes, including the scope, validity, and enforceability of this Arbitration Agreement, except that a court (not the arbitrator) decides (a) whether the Class Action Waiver in Section 14.9 is valid and enforceable, (b) whether a party has completed the informal resolution and mediation steps in Sections 14.2 and 14.3, and (c) any dispute about the Mass Filing procedures in Section 14.8.
14.2 Mandatory informal dispute resolution
Notice of Dispute. Before starting mediation, arbitration, or a small claims action, the party raising the Dispute must send the other party a written notice of dispute (a "Notice"). Notices to us must be sent by post to Legal – Notice of Dispute, JULT AI LIMITED, [registered office address], United Kingdom, or by email to info@jult.ai. Notices to you will be sent to the email address linked to your Jult account (or, if none, to any other contact details you have given us).
Contents. A Notice must include:
- your full name and, if you act for a business, the business's legal name;
- your postal address, email address, and telephone number;
- the Jult account identifiers involved (account email, organisation name, or workspace name);
- the Service features or transactions the Dispute concerns;
- a description of the nature and basis of the claim; and
- the specific relief you seek and how you calculated any amount claimed.
A Notice must be about your own Dispute only. It cannot be combined with, or refer to, any other person's dispute. A Notice sent by counsel must also be personally signed by you.
Good-faith negotiation period. After a complete Notice is received, the parties will try in good faith to resolve the Dispute for 60 days (which the parties may extend in writing). During that period either party may request an individual telephone or video settlement conference, which both parties (with counsel, if represented) will personally attend at the earliest mutually convenient time. Settlement offers made during this period are confidential and inadmissible in any later proceeding, except to prove compliance with this Section.
Condition precedent and tolling. Completing this Section 14.2 is a condition precedent to mediation, arbitration, or a small claims action. All limitation periods and filing deadlines are tolled from the date a complete Notice is received until Sections 14.2 and 14.3 are complete. If a party starts arbitration without completing Sections 14.2 and 14.3, the other party may ask a court to stay or enjoin the arbitration, and the arbitration provider may not accept, administer, or charge fees for it; any arbitration already filed will be administratively closed until these steps are complete. The arbitrator may award a party its reasonable costs of enforcing this Section against the other party.
14.3 Mandatory mediation
Mediation before arbitration. If a Dispute is not resolved within the 60-day period in Section 14.2, either party may require that the Dispute be submitted to mediation before any arbitration is filed, by giving written notice to the other party within 30 days after the 60-day period ends. If neither party requires mediation within that time, either party may proceed to arbitration under Section 14.4.
Mediator and procedure. Mediation will be conducted by a single mediator under the mediation rules of the arbitration provider that would administer an arbitration of the Dispute under Section 14.4 (or, if the parties agree, another neutral mediator). The mediation will take place by video conference unless the parties agree otherwise, and the parties will cooperate to hold it within 45 days after mediation is required.
Costs. Where you are an individual or a business with fewer than 10 employees, we will pay the mediator's fees for a mediation of up to one day. Otherwise the parties share the mediator's fees equally. Each party bears its own legal costs.
Without prejudice. The mediation is confidential and without prejudice. Nothing said or offered in mediation may be used in arbitration or court, except to prove that this Section was complied with.
Completion. This Section 14.3 is complete when (a) the mediation has been held and the mediator declares an impasse, (b) 90 days have passed since mediation was required without the other party cooperating in scheduling it, or (c) the parties agree in writing to skip or end mediation.
14.4 Arbitration
Agreement to arbitrate. If a Dispute is not resolved under Sections 14.2 and 14.3, it will be finally resolved by binding arbitration conducted in English by a single arbitrator, on an individual basis, under this Section 14.4.
Rules and provider if you reside or are established in the United States. These Terms evidence a transaction in interstate commerce, and the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the "FAA"), governs the interpretation and enforcement of this Arbitration Agreement notwithstanding any other choice-of-law provision in these Terms. The arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures and, where applicable, its Supplemental Rules for Mass Arbitration Filings (together, the "NAM Rules"), as modified by this Arbitration Agreement. The NAM Rules are available at www.namadr.com or by calling NAM at 1-800-358-2550. If NAM is unavailable or unwilling to administer the arbitration, the parties will agree on an alternative provider, failing which a court will appoint one under 9 U.S.C. § 5.
Rules and provider if you reside or are established anywhere else. The arbitration will be administered by the London Court of International Arbitration ("LCIA") under the LCIA Arbitration Rules in force when the Request for Arbitration is filed (the "LCIA Rules"), as modified by this Arbitration Agreement. The seat of arbitration is London, England, and the Arbitration Act 1996 governs the arbitration. For Disputes with a value of less than £50,000 (or equivalent), the parties agree to the LCIA's expedited procedures where available and to a documents-only or video-hearing determination unless the arbitrator decides an in-person hearing is necessary.
Governing law of the merits. The arbitrator will apply the governing law stated in these Terms to the substance of the Dispute, together with any mandatory consumer or statutory rights that apply to you under Section 14.1.
Starting arbitration. The party starting arbitration must file a demand (or Request for Arbitration) with the provider and send a copy to the other party at the address in Section 14.2. The demand must attach a certification, personally signed by the party (and by counsel, if represented), that the party has completed Sections 14.2 and 14.3 and is a party to this Arbitration Agreement.
Hearing location. Where the rules provide for an in-person hearing: if you reside or are established in the United States, the hearing will take place in the US county of your residence or principal place of business, or by video conference at either party's request; otherwise, in London or by video conference. If the Mass Filing procedures in Section 14.8 apply, the arbitrator decides the hearing location.
Arbitrator's powers and award. Except as limited by this Arbitration Agreement, the arbitrator may award any individual relief available in court under applicable law, including legal fees and costs where the law allows. The arbitrator must issue a reasoned written award explaining the essential findings and conclusions. The award binds only you and us, has no preclusive effect in any other proceeding involving a different party, and may be entered as a judgment by any court of competent jurisdiction. An award that has been fully satisfied will not be entered in any court.
Fees. Arbitration provider fees (filing, administrative, arbitrator, and hearing fees) are allocated under the applicable provider rules, unless you qualify for a fee waiver under applicable law. Each party bears its own legal fees and costs unless (a) applicable law or these Terms provide otherwise, (b) Section 14.7 applies, or (c) the arbitrator finds that a claim, defence, or request for relief was frivolous or brought for an improper purpose (judged, for US residents, by the standards of Federal Rule of Civil Procedure 11(b)), in which case the arbitrator may award fees and costs against the responsible party and its counsel.
Counsel certification and sanctions. Counsel for a party certifies, when filing and throughout the arbitration, that the claims and defences are not frivolous and are not brought for an improper purpose. The arbitrator may impose sanctions available under the provider's rules or applicable law against any party or counsel who breaches this certification.
Other arbitrations. The arbitrator may consider but is not bound by rulings in other arbitrations involving different users.
14.5 Disclosure and evidence
Depositions and witness statements. Each side may take at most one fact-witness deposition (US residents) or exchange one round of witness statements (all other users), unless the arbitrator finds that more is warranted given the amount in controversy, the complexity of the issues, the number of parties, and whether the claims appear on the pleadings to have enough merit to justify the time and expense.
Document requests. Document requests must be limited to documents directly relevant to the matters in dispute or their outcome, be reasonably restricted in time frame, subject matter, and custodians, avoid broad phrasing such as "all documents directly or indirectly related to", and not carry extensive definitions or instructions. The arbitrator may narrow or limit requests.
Electronic documents. Absent a showing of compelling need: (a) electronic documents will be produced only from sources used in the ordinary course of business, not from backups or archival media; (b) production will be in a reasonably usable, searchable format; (c) metadata need not be produced except email header fields; (d) custodians must be narrowly tailored to people whose documents are reasonably expected to contain material evidence; and (e) where the cost and burden of electronic disclosure are disproportionate to the Dispute, the arbitrator may deny the request or condition it on the requesting party advancing the reasonable costs of production, subject to reallocation in the final award.
14.6 Confidentiality
The existence, content, and outcome of any arbitration or mediation under this Arbitration Agreement are confidential, except as needed to enforce this Arbitration Agreement or an award, to comply with law, or to pursue a Dispute in court where permitted by this Arbitration Agreement. On either party's request the arbitrator will issue an order protecting confidential information disclosed in the arbitration, and any permitted court filing of confidential information will be made under seal to the fullest extent the law allows.
14.7 Offer of settlement
In any arbitration, the defending party may, but need not, make a written settlement offer at any time before the evidentiary hearing (or, if a dispositive application is permitted, before it is decided). The offer may not be disclosed to the arbitrator until after the award is issued. If the award is in the defending party's favour, or is in the claimant's favour but is not more favourable to the claimant than the offer, the claimant must pay the defending party's costs incurred after the offer was made, including reasonable legal fees, and the claimant may not recover its own costs incurred after that date. Where applicable law prohibits shifting costs in this way, the offer instead stops the accrual of any costs the claimant could otherwise recover from the date of the offer.
14.8 Mass filings
Trigger. If 25 or more Notices or demands for arbitration raising similar claims against us or related parties are submitted by the same or coordinated counsel or entities within a 90-day period (a "Mass Filing"), the procedures in this Section 14.8 apply in place of any inconsistent provider rule. Counsel for the parties must meet and confer in good faith to agree efficient modifications to these procedures. You acknowledge that your Dispute may be delayed if it is part of a Mass Filing. All limitation periods and filing deadlines are tolled from the date your compliant Notice is received until your claim is selected to proceed, is resolved, or is opted out of arbitration under this Section.
Bellwether stages. Claims proceed in staged individual arbitrations:
- Stage One: counsel for the claimants and counsel for us each select 25 claims (50 in total) to be filed and proceed in individual arbitrations. After this stage, the parties will promptly hold a global mediation of all remaining claims before a retired judge or senior mediator, and we will pay the mediator's fee.
- Stage Two: if claims remain, each side selects 50 claims (100 in total) to proceed in individual arbitrations, followed by a further global mediation of all remaining claims at our expense.
- Stage Three: if claims remain, each side selects 100 claims (200 in total) to proceed in individual arbitrations. Afterwards, counsel for the claimants may elect a further global mediation of all remaining claims.
Each selected arbitration is assigned to a different single arbitrator unless the parties agree otherwise in writing. Claims that have not been selected are not filed or deemed filed, and no arbitration fees are assessed for them, unless and until they are selected.
Option One after Stage Three: opt out to court. Within 30 days after Stage Three (or the related mediation) concludes, you may opt your claim out of arbitration by sending a notice personally signed by you (not by your counsel or agent) by registered post to JULT AI LIMITED, [registered office address], United Kingdom, Attn: Legal, stating that you wish to have your claim heard in court under Section 14.13. We may opt your claim out of arbitration by sending a signed notice to your counsel within 14 days after your 30-day period ends. Counsel may agree to adjust these deadlines. The Class Action Waiver in Section 14.9 continues to apply to claims heard in court under this paragraph.
Option Two after Stage Three: continued staged arbitration. If neither party opts out, the remaining claims proceed in further individual arbitrations in batches of up to 200, selected randomly or by a method agreed by counsel, repeating until all claims are resolved. Counsel are encouraged to engage with each other and with the provider (including through a procedural arbitrator) to streamline the process, increase batch sizes, and resolve remaining claims.
Enforcement. A court of competent jurisdiction may enforce this Section 14.8 and, if necessary, enjoin the mass filing, prosecution, or administration of arbitrations and the assessment of arbitration fees. If a court finally decides that this Section 14.8 is unenforceable as to your claim, your claim will be heard in court under Section 14.13 and the Class Action Waiver in Section 14.9 will continue to apply.
Good faith. The parties agree that these procedures are reasonably designed to produce an efficient and fair resolution of a large number of similar claims, and agree to act in good faith to follow them.
14.9 Class action waiver
YOU AND WE AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY IN OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, GROUP, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING, IN ARBITRATION OR IN COURT. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING. ONLY INDIVIDUAL RELIEF IS AVAILABLE.
The arbitrator may award declaratory or injunctive relief only in favour of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If a final decision not subject to further appeal determines that this Section 14.9 is invalid or unenforceable as to a particular claim or request for relief (for example, a request for public injunctive relief), then that claim or request (and only that claim or request) will be severed from arbitration and heard in the courts identified in Section 14.13, and all other Disputes will be arbitrated. In that event the parties agree to stay the court proceedings until the arbitration of the individual claims is complete. This Section does not prevent you or us from participating in a class-wide settlement.
14.10 Jury trial waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BEFORE A JUDGE OR JURY. Disputes will instead be resolved by arbitration under this Arbitration Agreement. There is no judge or jury in arbitration, and court review of an arbitration award is very limited. Where a Dispute is heard in court under this Arbitration Agreement, each party waives any right to a jury trial to the extent the law allows.
14.11 30-day right to opt out
You may opt out of this Arbitration Agreement by sending written notice to info@jult.ai or to the Notice address in Section 14.2 within 30 days after you first become subject to it (that is, within 30 days after you first accept the Terms containing it). Your notice must include your name, your postal address, the email address and organisation name on your Jult account, and a clear statement that you want to opt out of this Arbitration Agreement. If you opt out, the rest of these Terms (including Section 14.13) continue to apply to you. Opting out does not affect any other arbitration agreement you have or later enter into with us.
14.12 Changes to this Arbitration Agreement
If we make a material change to this Arbitration Agreement, we will notify you (for example, by email to your account address or by notice in the Service) at least 30 days before it takes effect. You may reject the change by writing to us as described in Section 14.11 within 30 days after the change takes effect. If you reject a change, the version of this Arbitration Agreement you most recently accepted continues to apply between you and us. Changes do not create a new opt-out right under Section 14.11 if you previously accepted a version of this Arbitration Agreement and did not opt out. We will honour any valid opt-out you made under an earlier version. Changes do not apply to any Dispute for which a Notice was received before the change took effect.
14.13 Courts and venue for non-arbitrated Disputes
Subject to the exceptions and consumer provisions in Section 14.1, any Dispute that is not subject to arbitration under this Arbitration Agreement (including because you validly opted out, because a court has found part of this Arbitration Agreement unenforceable, or under Option One in Section 14.8) will be brought exclusively in the courts of England and Wales, and you and we submit to their exclusive jurisdiction and waive any objection based on venue or inconvenient forum. You agree to accept service of process by post to the address on your Jult account or by email to your account address. Where a court of competent jurisdiction in your country of residence determines that it must hear the Dispute notwithstanding this Section, the Class Action Waiver in Section 14.9 and the Jury Trial Waiver in Section 14.10 continue to apply to the fullest extent permitted by that court.
14.14 Limitation period
Any Dispute must be raised by Notice under Section 14.2 within the limitation period that would apply to it in court, failing which it is permanently barred. Limitation periods are tolled as described in Sections 14.2 and 14.8.
14.15 Severability
If any part of this Arbitration Agreement (other than Section 14.9) is found invalid or unenforceable, that part will be severed and, where possible, replaced with a valid provision that matches the original intent as closely as possible, and the rest of this Arbitration Agreement remains in force. If the Class Action Waiver in Section 14.9 is found invalid or unenforceable as to a Dispute as a whole (as opposed to a single severable claim or request for relief under Section 14.9), then this entire Arbitration Agreement (other than Sections 14.9, 14.10, 14.13, and 14.16) will be of no force or effect as to that Dispute, and the Dispute will be heard in court under Section 14.13. If the Mass Filing procedures in Section 14.8 are found unenforceable as to your claim, the enforcement paragraph of Section 14.8 applies.
14.16 Survival
This Arbitration Agreement survives the termination of your account, your relationship with us, and these Terms, and applies to any Dispute regardless of when it arose.
